Terms & Conditions

By engaging GEER HOLDINGS LLC (“GEER HOLDINGS”) for consulting services or by using the website at geerholdings.com, you agree to be bound by these Terms & Conditions. Specific engagements may also be governed by a separate written agreement, which prevails to the extent of any conflict.

GEER HOLDINGS provides advisory and consulting services in business setup, operational optimization, and business automation. The specific scope, fees, timeline, and deliverables for each engagement will be defined in a written statement of work or proposal accepted by both parties.

Recommendations are advisory in nature. Clients remain solely responsible for their business decisions and operational outcomes.

The Client agrees to:

• Provide accurate, complete, and timely information necessary to perform the engagement.
• Designate authorized points of contact and decision-makers.
• Review deliverables promptly and provide timely feedback.
• Comply with applicable laws and regulations.

Fees are set out in the applicable statement of work and are payable in U.S. Dollars unless otherwise agreed. Late payments may be subject to interest and collection costs to the extent permitted by law.

Each party agrees to protect the confidential information of the other and to use it solely for the purposes of the engagement, in accordance with applicable law.

GEER HOLDINGS retains ownership of all pre-existing methodologies, frameworks, tools, and materials. Custom deliverables created specifically for the Client under a paid engagement are licensed to the Client for their internal business use, subject to full payment of fees.

To the maximum extent permitted by law, GEER HOLDINGS’s aggregate liability arising out of or relating to the services or these Terms shall not exceed the fees paid by the Client for the specific engagement giving rise to the claim. Neither party shall be liable for indirect, incidental, consequential, or punitive damages.

While GEER HOLDINGS performs services with professional care and diligence, no specific business, financial, or operational result is guaranteed. Outcomes depend on numerous factors outside our control.

Either party may terminate an engagement as provided in the applicable statement of work. Fees for services performed and expenses incurred through the date of termination remain payable.

These Terms are governed by the laws of the Commonwealth of Pennsylvania and the laws of the United States of America, without regard to conflict-of-laws principles. Any disputes shall be brought exclusively in the state or federal courts located in Allegheny County, Pennsylvania.
